PUBLIC OFFER AGREEMENT

for ordering, purchase and delivery of goods

1. General provisions

1.1. This document is a public offer by the business operating under the trade mark “Abris Art” (the Seller) to conclude a contract for the sale of goods on the terms set out below.

1.2. The offer is addressed to any individual or legal entity intending to purchase goods from the online store at abrisart.ua (the Site).

1.3. The contract is concluded at the moment of acceptance (clause 5.4) and requires no paper signature. It has the same legal force as a contract signed by both parties.

1.4. By placing an order, the Buyer confirms that they have read, understood and unreservedly accepted these terms.

1.5. The Seller may amend these terms unilaterally. Amendments take effect once published on the Site. Orders already placed are governed by the version in force at the time of ordering.

1.6. This English text is a translation. In the event of any discrepancy between the Ukrainian and English versions, the Ukrainian version prevails.

2. Definitions

2.1. Goods — embroidery kits, craft kits, paint-by-numbers kits, related materials and other items offered on the Site.

2.2. Buyer — an individual or legal entity who has placed an order on the Site.

2.3. Order — a duly completed request by the Buyer to purchase Goods.

2.4. Acceptance — full and unconditional acceptance of this offer by the Buyer.

2.5. Account — the section of the Site available to the Buyer after registration.

3. Seller details

3.1. Seller: the business operating under the trade mark “Abris Art” (the Seller).

3.2. The Seller's full legal name and registration number are stated in the accounting documents supplied with the Goods and are provided on written request to [email protected].

4. Subject of the contract

4.1. The Seller undertakes to transfer the Goods into the ownership of the Buyer, and the Buyer undertakes to accept and pay for them on the terms of this contract.

4.2. Title to the Goods passes to the Buyer upon actual receipt of the Goods and full payment of their price.

4.3. The risk of accidental loss or damage passes to the Buyer when the Goods are handed over to the Buyer or to the carrier, depending on the delivery method chosen.

5. Placing an order

5.1. Orders are placed through the shopping cart on the Site, by phone, or via messengers using the contacts in section 3.

5.2. When placing an order the Buyer provides: first and last name, phone number, email address, city and delivery method. The Seller may decline to process an order if the details provided are incomplete or inaccurate.

5.3. After the order is placed the Buyer receives a confirmation to the email address provided. The Seller's manager contacts the Buyer to agree the details.

5.4. Acceptance of this offer occurs when the Buyer takes any of the following actions: places an order on the Site, pays for an order, or confirms an order to the manager. The contract is concluded at that moment.

5.5. The Seller may cancel an order if the Buyer cannot be reached within three business days or if the Goods are out of stock. The Buyer is notified of any cancellation.

6. Price and payment

6.1. Prices are shown on the Site. For delivery within Ukraine prices are shown in Ukrainian hryvnia; for international orders, in euro.

6.2. The Seller may change prices unilaterally. The price of Goods in an order already placed and confirmed does not change.

6.3. The price of the Goods does not include delivery costs unless expressly stated otherwise.

6.4. International orders are accepted on full prepayment only:

• online card payment (Visa, Mastercard, Apple Pay, Google Pay) through the WayForPay payment service;
• bank transfer (SWIFT / IBAN). Transfer details are provided by the manager once the order is confirmed.

6.5. Bank charges and intermediary bank fees for international transfers are borne by the Buyer.

6.6. Import duties, taxes and customs clearance fees applicable in the Buyer's country are not included in the price and are payable by the Buyer.

6.7. Discounts, promo codes and special offers are not combined with one another unless the terms of a specific promotion expressly state otherwise.

7. Delivery

7.1. International orders are shipped by an international postal service. Indicative delivery times: Europe — 7–14 business days; USA and Canada — 10–20 business days; other countries — 14–25 business days.

7.2. Within Ukraine delivery is carried out by Nova Poshta (branch, parcel locker or courier to the address) and Ukrposhta. Indicative delivery times: Nova Poshta — 1 to 3 days, Ukrposhta — up to 5 days from dispatch.

7.3. Collection in person is available at the address in clause 3.4 during working hours, by prior arrangement with the manager.

7.4. Delivery cost is determined by the carrier's tariffs and is paid by the Buyer unless a promotion provides otherwise. Free delivery conditions are stated on the Payment and shipping page.

7.5. Delivery times are indicative. The Seller is not liable for delays caused by the carrier, by customs authorities, or by the circumstances described in section 12.

7.6. A tracking number is provided once the parcel is dispatched.

7.7. If the Buyer does not collect the parcel within the storage period set by the carrier, it is returned to the Seller. Return shipping costs in that case are borne by the Buyer.

8. Handover and inspection

8.1. The Buyer may open the outer packaging to inspect the contents on receipt.

8.2. Claims regarding quantity, completeness or physical damage are accepted within 14 days of receipt. The Buyer submits a description of the issue together with photographs of the Goods and the packaging.

8.3. Where a manufacturing defect or an error in the kit contents is confirmed, the Seller — at its option and in agreement with the Buyer — supplies the missing components, replaces the Goods, or refunds the amount paid. Delivery costs in that case are borne by the Seller.

9. Returns and exchanges

9.1. A Buyer who is a consumer may withdraw from the purchase and return or exchange Goods of proper quality within 14 days of receipt, in accordance with the Law of Ukraine "On Protection of Consumer Rights".

9.2. Return or exchange of Goods of proper quality is possible provided the Goods have not been used and their presentation, original packaging, completeness, seals and labels are intact, and proof of purchase is available.

9.3. Goods included in the list approved by the Cabinet of Ministers of Ukraine are not subject to return or exchange.

9.4. Procedure: the Buyer notifies the Seller's manager of the intention to return or exchange the Goods, receives instructions and the return address, and sends the Goods accordingly.

9.5. Return shipping costs:

• manufacturing defect or error in the kit contents — borne by the Seller;
• the Buyer has changed their mind about Goods of proper quality — borne by the Buyer.

9.6. Exchange or refund is processed within 3 business days after the Goods are received and inspected at the Seller's warehouse.

9.7. On exchange, the Buyer selects other Goods of a value corresponding to the Goods originally purchased. Any difference in value is settled between the parties.

10. Refunds

10.1. Refunds are made using the same method as the original payment, unless the parties agree otherwise.

10.2. The refund period depends on the rules of the bank or payment service and is normally up to 30 banking days from the Seller's decision to refund.

10.3. Delivery costs already incurred by the Seller are not refunded, except in the cases described in clause 8.3.

11. Rights and obligations of the parties

11.1. The Seller undertakes to: deliver Goods of proper quality and completeness; provide accurate information about the Goods; comply with these terms; keep the Buyer's personal data confidential.

11.2. The Seller may: amend these terms, the product range and prices; cancel an order in the cases described in clause 5.5; decline service in the event of abuse of rights by the Buyer.

11.3. The Buyer undertakes to: provide accurate details; pay for and accept the Goods; read these terms before placing an order.

11.4. The Buyer may: receive information about the Goods and the status of the order; return or exchange Goods under section 9; contact the Seller with questions and claims.

12. Liability and force majeure

12.1. The parties bear liability in accordance with the applicable law of Ukraine.

12.2. The Seller is not liable for improper use of the Goods by the Buyer, nor for the outcome of the creative work carried out using the Goods.

12.3. The parties are released from liability for failure to perform obligations where this is caused by force majeure: military action, the introduction or extension of martial law, damage to critical infrastructure, power and communication outages, natural disasters, decisions of public authorities, or suspension of carriers' operations.

12.4. The Seller notifies the Buyer of such circumstances by any available means. Performance of obligations is postponed for the duration of those circumstances.

13. Personal data

13.1. By placing an order or registering on the Site, the Buyer consents to the processing of their personal data in accordance with the Law of Ukraine "On Personal Data Protection".

13.2. The Seller processes: first and last name, phone number, email address, delivery address, order history.

13.3. Purpose of processing: fulfilling the order, delivery, accounting and tax records, communication with the Buyer, handling enquiries, and — subject to separate consent — sending informational and marketing messages.

13.4. Data is shared with third parties only to the extent necessary to fulfil the order: delivery services, payment services and mailing services. The Seller does not sell personal data to third parties.

13.5. The Buyer has the right to be informed about the processing of their data, to access it, to request its correction or deletion, and to withdraw consent. To do so, write to [email protected].

13.6. Marketing emails can be declined via the link in any such email or by contacting the Seller; this does not affect the fulfilment of orders already placed.

13.7. The Site uses cookies to operate its functionality and for analytics.

14. Intellectual property

14.1. The charts, designs, images, texts and other materials published on the Site and supplied with the Goods are the intellectual property of the Seller or are used by the Seller on lawful grounds.

14.2. Purchasing the Goods does not transfer any intellectual property rights in the chart or design to the Buyer.

14.3. Copying, reproducing or publishing the charts and designs, and using them to manufacture kits for sale, is not permitted without the Seller's written consent.

14.4. The Buyer is free to dispose of the finished piece they have stitched or painted themselves.

15. Dispute resolution

15.1. Disputes are resolved through negotiation. The Seller reviews written enquiries within 14 days of receipt.

15.2. If no agreement is reached, the dispute is resolved in court in accordance with the law of Ukraine.

15.3. The substantive law of Ukraine applies to the relations between the parties.

16. Term and other provisions

16.1. The contract is in force from acceptance until both parties have fully performed their obligations.

16.2. Invalidity of any individual provision does not render the contract as a whole invalid.

16.3. The current version of the contract is always available on the Terms of the agreement page.

16.4. Payment, delivery, return and exchange conditions are set out in detail on the Payment and shipping page and form an integral part of this contract.
